1. Introduction & Acceptance of Terms

These Terms of Service (“Terms,” “Agreement”) constitute a legally binding contract between Honeypotz Inc, a Delaware corporation with its registered office at 8 The Green, Suite R, Dover, DE 19901 (“Company,” “we,” “us,” “our”), and you (“User,” “you,” “your”), governing your access to and use of the AI-QUANT software-as-a-service platform (“Platform,” “Service”), including all associated websites, APIs, dashboards, trading tools, market scanners, data feeds, mobile applications, and any related products or services.

BY CHECKING THE “I AGREE” BOX, CREATING AN ACCOUNT, SUBSCRIBING TO ANY TIER, OR OTHERWISE ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through prominent notice on the Platform. Your continued use after such notice constitutes acceptance of the revised Terms.

2. Eligibility & Account Responsibilities

By using the Platform, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into this Agreement; (c) you are not located in a jurisdiction subject to U.S. government embargo or designated as a terrorist-supporting country; and (d) you are not listed on any U.S. government list of prohibited or restricted parties.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

3. Description of the Platform

AI-QUANT is a software platform providing quantitative market analysis tools, including but not limited to: trade idea generation, options flow scanning, dealer gamma computation, volatility analysis, iron condor strategy building, backtesting engines, SEC EDGAR and insider transaction scanning, economic calendar integration, paper trading, strategy alerts, broker API integrations, and AI-powered market commentary (“Copilot”).

AI-QUANT IS A DATA ANALYSIS AND EDUCATIONAL TOOL. IT DOES NOT PROVIDE INVESTMENT ADVICE, RECOMMENDATIONS, OR SOLICITATIONS TO BUY OR SELL ANY SECURITY. All information, signals, trade ideas, alerts, and outputs generated by the Platform are for informational and educational purposes only.

We do not execute trades on your behalf unless you have explicitly configured and authorized broker API integration through the Elite tier. In such cases, you retain full control and responsibility for all trading decisions.

4. Subscriptions, Payments & Refunds

IMPORTANT: ALL SALES ARE FINAL. NO REFUNDS.

The Platform offers tiered subscription plans (Basic, Pro, Elite) priced as displayed on our pricing page. All fees are denominated in U.S. dollars and are non-refundable except as expressly provided herein.

Subscription fees are billed in advance on a monthly or annual basis, as selected at checkout. Unless you cancel at least 24 hours before the end of the current billing period, your subscription will automatically renew at the then-current rate.

You may cancel your subscription at any time through the Billing page in your account dashboard. Cancellation takes effect at the end of the current billing period; you will retain access until that date. No partial-month refunds or credits are provided.

We reserve the right to change subscription fees upon 30 days’ notice. Price changes will not apply to the current billing period but will take effect at the next renewal.

5. Acceptable Use & User Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable securities laws or regulations;
• Reverse-engineer, decompile, disassemble, or attempt to extract source code from the Platform;
• Share, resell, sublicense, or redistribute access to the Platform to unauthorized third parties;
• Use automated means (bots, scrapers) to access the Platform in a manner that exceeds reasonable human usage, unless via officially provided API keys;
• Upload malware, viruses, or any malicious code; interfere with or disrupt the Platform’s operation;
• Attempt to gain unauthorized access to other users’ accounts, systems, or data;
• Use the Platform to engage in market manipulation, front-running, insider trading, or any other illegal trading activity;
• Misrepresent your identity or affiliation.

Violation of these terms may result in immediate suspension or termination of your account without notice and without refund.

6. Intellectual Property Rights

The Platform, including all source code, algorithms, user interfaces, graphics, logos, trademarks, data models, analytics methodologies, and documentation, is the exclusive intellectual property of Honeypotz Inc and is protected by copyright, trade secret, and other intellectual property laws of the United States and international treaties.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business or personal use. This license does not include any right to: (a) modify, adapt, or create derivative works; (b) remove or alter any proprietary notices; or (c) use the Platform to build a competitive product or service.

“AI-QUANT,” “Honeypotz,” and associated logos are trademarks of Honeypotz Inc. All other trademarks are the property of their respective owners.

7. Third-Party Services & Data Providers

The Platform integrates with third-party services, including but not limited to: Charles Schwab & Co. (market data and brokerage APIs), Stripe (payment processing), SEC EDGAR (public filings), and various market data providers. We do not control and are not responsible for the accuracy, availability, or practices of these third parties.

Market data displayed on the Platform may be delayed, inaccurate, or incomplete. You acknowledge that real-time data depends on third-party feeds and may be subject to latency, outages, or restrictions imposed by the data provider.

Your use of broker API integrations (e.g., Schwab) is governed by the terms of service of those providers in addition to these Terms. You are solely responsible for compliance with your broker’s terms and for all trading activity conducted through such integrations.

11. Indemnification

You agree to indemnify, defend, and hold harmless Honeypotz Inc, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any trading activity conducted by you, whether manual or automated; and (e) any dispute between you and your broker or any third party.

12. Paper Trading & Simulated Results

The Platform may offer paper trading functionality that simulates trading using virtual capital. All paper trading results are simulated and do not represent actual trading. Simulated results are inherently limited because they: (a) do not involve actual financial risk; (b) are designed with the benefit of hindsight; (c) may not account for real-world factors such as liquidity, slippage, or market impact; and (d) may reflect performance that is not achievable in live trading.

NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN IN PAPER TRADING SIMULATIONS.

13. Termination & Suspension

We may suspend or terminate your access to the Platform at any time, with or without cause, including but not limited to: violation of these Terms; failure to pay subscription fees; illegal or fraudulent activity; or upon request by law enforcement. Upon termination, your right to access the Platform immediately ceases.

You may terminate your account at any time by contacting support. Upon termination, we will delete your personal data in accordance with our Privacy Policy, subject to any legal retention requirements.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in Dover, Delaware, and you consent to the personal jurisdiction and venue of such courts.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All claims must be brought in your individual capacity.

15. Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, shortages of transportation or energy, or interruptions in telecommunications or internet services.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any supplemental agreements you enter with us, constitute the entire agreement between you and Honeypotz Inc concerning the Platform.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
• Notices: We may provide notices to you via email to the address associated with your account or through the Platform. Any notices to us must be sent to the registered address of Honeypotz Inc.
• Survival: Sections 6 (Intellectual Property), 8 (Disclaimer), 9 (Risk Acknowledgment), 10 (Limitation of Liability), 11 (Indemnification), 14 (Governing Law), and this Section 16 shall survive termination of these Terms.
